Sales Terms & Conditions

Canada Cacao Company Inc. (“Zucchero Canada”) · Commercial, machinery, freight & wholesale sales · Effective October 22, 2026 · Updated November 2, 2026

1. About these terms. These Sales Terms & Conditions (“Terms”) govern the sale of goods by Canada Cacao Company Inc. (“Zucchero Canada,” “we,” “us”). They apply to business, professional, wholesale, machinery, and freight orders (“B2B”). For consumers (personal use), our Shipping Policy and Return & Refund Policy apply, together with applicable consumer protection law, which prevails over anything in these Terms that would reduce a consumer's statutory rights. Where these Terms conflict with our website policies for a B2B order, these Terms prevail.

2. Quotations, orders and acceptance. Quotations are valid for 30 days unless stated otherwise and may be revised for errors or changes in cost. An order is accepted only when we confirm it in writing or ship it. We may decline or limit any order. Special-order and made-to-order goods are ordered from the manufacturer on the Buyer's behalf once accepted, and may be cancelled for a full refund until we place the order with the manufacturer (see Section 8).

3. Prices, currency and taxes. Prices are in the currency shown at checkout or on the quotation and are exclusive of applicable taxes unless stated. GST/HST and other taxes are added as required (GST/HST 746987700RT0001). For B2B cross-border orders, duties and tariffs may be estimated and later reconciled to actual, as disclosed on the quotation.

4. Payment terms (B2B). Payment is due as stated on the quotation or invoice. Machines and drop-ship orders are payable 100% in advance. Other orders are payable in advance (prepayment or card on file); Net 15 terms from the invoice date may be offered, at our discretion, to accounts with an established order history, unless otherwise agreed in writing. If an invoice remains unpaid more than 30 days after its due date, interest is charged on the overdue balance at 2% per month (24% per year), starting on the 31st day after the due date and continuing until paid. These terms apply to all invoices issued on or after November 2, 2026. The Buyer is responsible for all reasonable costs of collection, including collection-agency and legal costs. Shipments are suspended on accounts more than 15 days past due; we may also withhold further shipments and suspend credit while any amount is overdue, and may apply payments to the oldest invoice first. Consumer transactions are governed by applicable consumer protection law.

5. Title and security (retention of title). Risk of loss passes to B2B and freight buyers on shipment (and to consumers on delivery), as set out in our Shipping Policy. However, title to and ownership of all goods remain with Zucchero Canada until we have received payment in full of all amounts owing for those goods and any related charges. Until title passes, the Buyer holds the goods as bailee for Zucchero Canada, keeps them identifiable and insured, and must not resell, encumber, or dispose of them outside the ordinary course of business. If the Buyer defaults in payment or becomes insolvent, Zucchero Canada may, on reasonable notice and to the extent permitted by law, require the return of or repossess any unpaid goods, including as permitted under the Personal Property Security Act (Alberta), without breaching the peace. Zucchero Canada may register a purchase-money security interest in the goods, and the Buyer agrees to sign any documents reasonably required to perfect it. Nothing in this section limits any rights a consumer has under applicable consumer protection law.

6. Delivery, freight and inspection. Delivery dates are estimates. For freight/LTL, the Buyer must provide accurate site and contact information, accept reasonable delivery appointments, and ensure suitable access and unloading. Storage, redelivery, or demurrage charges caused by the Buyer's unavailability or refusal are the Buyer's responsibility. The Buyer must inspect on arrival and note any visible damage or shortage on the carrier's delivery receipt or bill of lading before signing, and keep the copy.

7. Transit damage, loss or shortage. To allow a claim: report visible damage, shortage, or non-arrival within 24 hours of delivery (or scheduled delivery), with photos; report concealed damage not visible at delivery within 5 calendar days, with photos; for food and perishable orders, report any problem within 24 hours. Keep all packaging and the goods as received until the claim is resolved. Reports made after these windows, or goods used, discarded, or returned before we respond, may not be eligible for a claim.

8. Returns, restocking and cancellations. Returns require prior authorization and follow our Return & Refund Policy. A restocking fee of up to 15% may apply, at our discretion, to change-of-mind returns of eligible unused stock; no restocking fee applies to defective, transit-damaged, not-as-described, or our-error items. Before we place a special or made-to-order item with the manufacturer — and before any in-stock machine or equipment ships — you may cancel it for a full refund. Once a special-order or made-to-order item has been placed with the manufacturer, or a machine has shipped, it is final sale and cannot be cancelled or returned for a change of mind, incorrect selection, or buyer's remorse. In every case, items that are defective, not as described, or sent in error are repaired, replaced, or refunded — at our option or as required by law — and this does not limit a consumer's statutory rights.

9. Food and ingredients. Food and ingredients (flour, cocoa, chocolate, cocoa butter, and similar) ship within Canada only, are not eligible for shipping insurance/protection, and are non-returnable once delivered, for food-safety and hygiene reasons. If a food order arrives damaged or does not arrive, report it within 24 hours with photos and we will replace or refund it for retail customers.

10. Cross-border / U.S. orders. U.S. orders ship DDP (Delivered Duty Paid); estimated duties and import taxes are calculated and collected at checkout, so nothing more is owed on delivery, with Zucchero Canada as importer of record through our licensed U.S. customs broker. DDP covers duties and taxes only and does not guarantee transit time. For B2B orders, duties/tariffs may be estimated and reconciled to actual, as disclosed on the quotation. Food and ingredients are not shipped outside Canada.

11. Machinery — site, voltage, installation and electrical certification. Commercial equipment may require correct voltage, electrical supply, site preparation, ventilation, and professional installation. The Buyer is responsible for confirming model, voltage, electrical and site requirements, and dimensions before ordering, and for proper installation and operating conditions. Damage from incorrect installation, power supply, or use is not covered. Electrical certification (CE). Our machines are manufactured in Europe and are designed, built, and CE-marked to European Union safety standards. Unless expressly stated in writing on the product page, quotation, or invoice, machines are not certified to cUL, CSA, UL, or any other North American certification mark. Acceptance of CE-marked equipment varies by province, state, municipality, electrical inspector, utility, insurer, and site. Before ordering, the Buyer is solely responsible for verifying with the local electrical authority having jurisdiction — and, where relevant, the Buyer's insurer or landlord — whether the equipment may be connected as supplied, or whether a field evaluation / special inspection (for example, under CSA SPE-1000 in Canada, or by a recognized field evaluation body in the United States) or electrical modifications (plugs, transformers, wiring) are required. All such approvals, evaluations, modifications, and their costs are the Buyer's sole responsibility and are not included in the price. At the Buyer's request, Zucchero Canada can coordinate an on-site field evaluation by Intertek at the Buyer's facility; it is quoted in advance at an hourly rate and all of its costs are paid by the Buyer. Because the certification status of each machine is disclosed before sale, the absence of cUL/CSA (or equivalent) certification is not a defect or non-conformity and does not entitle the Buyer to cancel, return, or obtain a refund for an order that has become final under Section 8. Nothing in this section limits a consumer's statutory rights.

12. Warranties. New equipment carries the applicable manufacturer's warranty, which we pass through to the Buyer; warranty service is provided under the manufacturer's terms. Except for that warranty and any rights that cannot be excluded by law, and to the maximum extent permitted for B2B sales, goods are sold “as is” and we disclaim other express or implied warranties (including merchantability and fitness for a particular purpose). Consumers retain all statutory warranties and rights.

13. Limitation of liability (B2B). To the maximum extent permitted by law, our total liability for any order is limited to the amount paid for the goods giving rise to the claim, and we are not liable for indirect, incidental, or consequential loss (including lost production, lost profit, spoilage, or downtime). Nothing in these Terms limits liability that cannot be limited by law, or a consumer's statutory rights.

14. Force majeure. We are not liable for delay or failure to perform caused by events beyond our reasonable control, including carrier or supplier delays, customs holds, weather, strikes, or other force-majeure events.

15. Spare parts discount for machine buyers. Buyers who purchase a machine from Zucchero Canada receive 15% off genuine spare parts for that machine for as long as they own it, while this program is offered. We may change or end the program at any time without prior notice; a change does not affect orders already placed. This discount is separate from, and unrelated to, any restocking fee.

16. Governing law and disputes. These Terms are governed by the laws of the Province of Alberta and the federal laws of Canada applicable there, and the courts of Alberta have jurisdiction. For Québec consumers, mandatory provisions of the Consumer Protection Act (Québec) and related French-language requirements continue to apply.

17. General. These Terms, with the quotation/invoice and our website policies, are the entire agreement for B2B orders and prevail over any Buyer purchase-order terms. If a provision is unenforceable, the rest remains in effect. The Buyer may not assign an order without our consent. We may update these Terms; the version in effect when your order is accepted applies.

18. Québec / French. These Terms are available in French. Ces conditions sont disponibles en français.
