These Terms of Service ("Terms") govern your access to and use of zuccherocanada.ca and zuccherocanada.us (the "Site") and your purchases from Zucchero Canada (Canada Cacao Company Inc., corporation number 1379320-6, "we", "us", "our"). By using the Site or placing an order, you agree to these Terms. Please also read our Shipping Policy, Return & Refund Policy, and Privacy Policy, which form part of these Terms. For business, wholesale, machinery, freight, and special-order purchases, our Sales Terms & Conditions also apply and govern where there is any conflict. Nothing in these Terms limits or removes any rights you have under applicable consumer protection law.

2. Eligibility and accounts
The Site is intended for adults and for business customers acting through authorized representatives. By using the Site, you confirm you are at least the age of majority in your province or state, or that you are using the Site under the supervision of someone who is. If you create an account, you are responsible for keeping your login details confidential and for any activity under your account. Please give us accurate, current information.
3. Products, descriptions, and availability
We try to describe and display our products — including machines, equipment, molds, tools, and food ingredients — as accurately as possible. Colors, images, specifications, and packaging may vary, and product descriptions are for general guidance. Equipment may require correct voltage, electrical installation, site preparation, and professional setup; it is your responsibility to confirm a product's specifications, voltage, dimensions, and suitability before ordering. Products are subject to availability, and we may limit quantities, discontinue products, or change specifications at any time.
4. Pricing and errors
Prices are in Canadian dollars (CAD) unless stated otherwise and may change without notice. We work hard to keep prices and information accurate, but errors can occur. If a product is listed with an incorrect price, weight, or description, we may cancel or correct the order — even after it is placed — and we will contact you to confirm the corrected price or offer a full refund before shipping. Promotional offers may have their own conditions and end dates.
5. Orders and acceptance
Your order is an offer to buy. A confirmation email acknowledges that we received your order; it does not mean we have accepted it. We accept your order when we ship it (or, for pickup, when we make it available to you). We may refuse, limit, or cancel any order — for example, if a product is unavailable, if there is an error, or if we suspect fraud or resale outside our terms — and if we cancel an order you paid for, we will refund it.
6. Quotations (business and special orders)
Quotations we provide are valid for the period stated and may be subject to change in price, availability, duties, or freight. For machinery, special-order, made-to-order, freight, and wholesale purchases, our Sales Terms & Conditions apply in addition to these Terms.
7. Payment
We accept the payment methods shown at checkout, processed by our payment providers (Shopify Payments and/or Stripe). You confirm you are authorized to use the payment method. Title to goods passes to you once we receive payment in full; risk of loss is handled in our Shipping Policy and, for business and freight orders, our Sales Terms & Conditions.
8. Taxes and customs
Applicable Canadian taxes (GST/HST) are added at checkout. For orders shipped to the United States, duties and import taxes are handled as described in our Shipping Policy (DDP for most orders). You are responsible for any taxes or duties stated as your responsibility for international destinations.
9. Shipping, returns, and privacy
Delivery, risk of loss, claims, and damage are governed by our Shipping Policy. Returns, refunds, exchanges, and final-sale items (including machines and food) are governed by our Return & Refund Policy. How we handle personal information is described in our Privacy Policy. These policies form part of these Terms.
10. Intellectual property
The Site and its content — text, images, logos, product photos, graphics, and design — are owned by or licensed to Zucchero Canada and are protected by intellectual-property laws. You may use the Site for your own personal or internal business purposes related to buying from us. You may not copy, reproduce, scrape, resell, or use our content for other purposes without our written permission.
11. Your content and reviews
If you submit reviews, comments, photos, or other content, you grant us a non-exclusive, royalty-free, worldwide license to use, display, and reproduce it in connection with our business, and you confirm the content is yours to share and is not unlawful or offensive. We may remove content at our discretion.
12. Acceptable use
You agree not to use the Site unlawfully, to interfere with its operation or security, to introduce malware, to scrape or harvest data, to infringe others' rights, or to use our products in a way that violates applicable safety, electrical, or food regulations.
13. Third-party links and services
The Site may link to third-party sites or rely on third-party services (such as payment, shipping, and analytics providers). We are not responsible for third-party sites or their content, and your use of them is at your own risk and subject to their terms.
14. Disclaimers
The Site is provided "as is" and "as available." To the extent permitted by law, we do not guarantee that the Site will be uninterrupted or error-free. Product warranties, where they apply, are provided as described at the point of sale or by the manufacturer. For consumers, nothing in these Terms removes warranties or guarantees that the law requires, and that cannot be excluded (such as the legal guarantee that goods are fit for their purpose and as described). For business customers, to the extent permitted by law, we disclaim all implied warranties not expressly stated.
15. Limitation of liability
To the maximum extent permitted by law, and except for liability that cannot be limited by law (including a consumer's statutory rights and liability for death, personal injury, or fraud caused by us): we are not liable for indirect, incidental, special, or consequential losses (such as lost profits, lost production, lost sales, or spoilage); and for business customers, our total liability arising from an order is limited to the amount you paid for the product giving rise to the claim. Nothing in this section limits your rights as a consumer under applicable consumer protection law.
16. Indemnification (business customers)
If you are a business customer, you agree to indemnify and hold harmless Zucchero Canada from claims, losses, and costs arising from your breach of these Terms, your misuse of a product, or your failure to meet installation, electrical, or regulatory requirements. This section does not apply to consumers except to the extent permitted by law.
17. Force majeure
We are not responsible for delays or failures caused by events beyond our reasonable control, including carrier or supplier delays, customs or border holds, weather, strikes, or other force-majeure events, as further described in our Shipping Policy and Sales Terms & Conditions.
18. Governing law and disputes
These Terms and any purchase are governed by the laws of the Province of Alberta and the federal laws of Canada that apply there, without regard to conflict-of-laws rules. The courts of Alberta (sitting in Calgary) have jurisdiction over any dispute. If you are a consumer, nothing in this section removes your right to bring proceedings in your home province where the law gives you that right — for example, residents of Quebec may exercise the rights and remedies available to them under Quebec law.
19. Changes to these Terms
We may update these Terms from time to time. The "Last updated" date shows the latest version, and changes take effect when posted. Your continued use of the Site or placing an order after changes are posted means you accept the updated Terms.
20. Severability and entire agreement
If any part of these Terms is found unenforceable, the rest remains in effect. These Terms, together with our Shipping Policy, Return & Refund Policy, Privacy Policy, and (where applicable) Sales Terms & Conditions, are the entire agreement between you and us about your use of the Site and your purchases.
